Please read these Terms and Conditions (“Terms”) carefully before using the services of Naxa (“we,” “our,” “us”) and our website naxaajency.com.
By accessing or using our Site and services, you (“Client,” “you,” “your”) agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Site or services.
1. Definitions

Services: The web development, design, and IT services provided by Naxa including but not limited to website design, development, programming, digital marketing, and IT consulting.

Client: Any individual or business that requests or engages with our Services.

Agreement: The contract between Naxa and the Client for the provision of Services.
2. Service Agreement
By engaging with us for our Services, you agree to enter into an Agreement with us. The scope, deadlines, costs, and deliverables of each project will be outlined in the individual Service Agreement or Proposal provided to you. Once signed or accepted, this Agreement will govern the relationship between the parties.
3. Services Provided
We provide the following services:

Website maintenance and support

Mobile application development

Digital marketing and SEO services
-
IT consulting, systems integration, and related IT services
We may also offer additional services as requested by the Client, and specific terms will be agreed upon in writing.
4. Client Responsibilities
The Client agrees to:

Provide clear, detailed project specifications and requirements to facilitate the timely execution of the project.

Ensure that all materials (e.g., logos, images, content) provided to us are owned or licensed by the Client and do not infringe on third-party rights.

Provide timely feedback and approvals for the project stages.

Be responsible for the cost of any third-party software, licenses, or subscriptions necessary for the project.

Ensure that all necessary access (e.g., hosting, CMS, domain) is provided to our team in a timely manner.
5. Payment Terms

Fees: The cost of Services will be specified in the individual Service Agreement or Proposal. All fees are subject to change with notice.

Payment Schedule: We generally work on a deposit system, with an upfront payment required before work begins, followed by subsequent payments as per the milestones outlined in the proposal.

Late Payments: Any overdue payments will be subject to a late fee of 10% per month. We reserve the right to suspend or delay services until payment is received.

Invoices: Invoices will be issued as specified in the Service Agreement. Payments are due within 30 days of the invoice date unless otherwise agreed upon.

Refunds: Payments are non-refundable once work has commenced, except under special circumstances agreed upon by both parties.
6. Delivery & Timeline

Project Timeline: We will provide estimated timelines for completion in the Service Agreement. Timely project delivery is dependent on prompt feedback and material provision by the Client.

Delays: We are not responsible for delays due to Client’s failure to meet deadlines, provide required materials, or communicate in a timely manner.

Project Completion: Once the project is completed, we will submit it for review. The Client must provide feedback within 30 days. After this period, the project will be considered completed, and any additional work may be subject to new fees.
7. Intellectual Property

Client Content: The Client retains ownership of all content, trademarks, logos, and intellectual property they provide to us for the project.

Agency Work: Upon full payment, the Client will own the final project deliverables (e.g., website code, graphics, designs), subject to the following:

Any third-party tools, software, or plugins used within the project remain the intellectual property of their respective owners.

We retain the right to use the work for promotional purposes, including portfolio showcases and marketing unless otherwise stated.

License: We grant the Client a non-exclusive, non-transferable license to use the final project for the agreed-upon purpose only.
8. Confidentiality
Both parties agree to maintain confidentiality regarding any proprietary or sensitive information shared during the course of the project. This includes, but is not limited to, business practices, software code, and client data.
9. Limitation of Liability

No Warranty: We do not guarantee the uninterrupted or error-free operation of any website or IT system. We are not responsible for damages arising from issues like server outages, data loss, or security breaches.

Limitation: Our total liability for any claim related to this Agreement will be limited to the total amount paid by the Client for the specific Services related to the claim.
10. Termination

Termination by Client: The Client may terminate the Agreement at any time by providing written notice. In the event of termination, the Client is responsible for paying for all work completed up to the termination date.

Termination by Naxa: We reserve the right to terminate this Agreement if the Client fails to meet their responsibilities or breaches any part of the Agreement. In such cases, the Client will be billed for work completed up to that point.
11. Indemnity
The Client agrees to indemnify and hold Naxa, its employees, agents, and contractors harmless from any claims, damages, or liabilities arising from the Client’s use of the delivered project, including but not limited to claims of copyright infringement, data loss, or third-party disputes.
12. Governing Law & Dispute Resolution
These Terms will be governed by and construed in accordance with the laws of [Your Country/State].
Any disputes arising from this Agreement will be resolved through [mediation/arbitration], and if not resolved, through the courts of [Jurisdiction].
13. Force Majeure
We are not liable for any delays or failures to perform resulting from causes beyond our reasonable control, including but not limited to natural disasters, acts of war, strikes, or any other unforeseen circumstances.
14. Changes to These Terms
We reserve the right to modify or update these Terms at any time. Any changes will be posted on this page with an updated date. The Client is encouraged to review these Terms periodically.
